Canada Goose Holdings Inc.’s controlling shareholder Bain Capital is considering a sale of its stake in the luxury parka-maker, according to people familiar with the matter.

Bain is working with advisers as it considers selling part or all of its holding in Canada Goose, the people said. It has been gauging early interest from potential buyers including other private equity firms, according to the people, who asked not to be identified because the information is private.

Shares of Canada Goose have gained about 23 percent this year, giving the company a market value of $1.26 billion.

Bain acquired a controlling stake in Canada Goose in 2013 and listed the business in 2017. At the end of March, Bain owned 60.5 percent of Canada Goose’s so-called multiple voting shares, an unlisted class of stock with 10 times the voting power of the company’s publicly traded shares, according to a regulatory filing. Its stake gives it 55.5 percent of the voting power at Canada Goose.

Deliberations are at a preliminary stage and there’s no certainty they will lead to a transaction, the people said. Other shareholders could also consider joining Bain in a deal, according to some of the people.

Representatives for Bain and Canada Goose declined to comment.

Founded in 1957 in a small warehouse in Toronto, Canada Goose has grown from a niche cold-weather outfitter into a global luxury brand known for its high-performance parkas.

Canada Goose had 74 stores worldwide at the end of March. The company reported about C$95 million ($69.5 million) of net income for the year through March 2025 based on C$1.3 billion in revenue. It didn’t provide a financial outlook for the next financial year, citing ongoing macroeconomic uncertainty and consumer spending dynamics following global trade.

The company said in May that US tariffs had only made a minimal impact due to its Canada-based supply chain.
